These Terms of Service ("Terms") govern your access to and use of the websites, applications, browser extensions, software, services, intelligence systems, and related offerings operated by Social Attaché Software Corporation ("Social Attaché", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Definitions
Service

"Service" means all websites, applications, browser extensions, software, APIs, intelligence systems, automation systems, reports, analytics, recommendations, AI-powered features, and related services provided by Social Attaché.

Customer Data

"Customer Data" means information intentionally provided, uploaded, submitted, connected, or transmitted by a customer through the Service, including content, contacts, messages, emails, media, files, and business information.

Public Data

"Public Data" means information available from publicly accessible sources, including websites, social media profiles, pages, posts, business listings, public offers, public advertisements, public content, and other publicly available information.

Intelligence Assets

"Intelligence Assets" means all derived, aggregated, inferred, analytical, benchmark, graph, classification, recommendation, training, machine learning, artificial intelligence, and intelligence-related outputs, datasets, structures, and systems generated through operation of the Service.

Intelligence Network

"Intelligence Network" means the systems used by Social Attaché to collect, analyze, classify, benchmark, organize, infer, and generate intelligence from Customer Data, Public Data, operational data, and other information available to the Service.

2. Eligibility

You may only use the Service if you have the legal authority to enter into these Terms and are legally permitted to use the Service within your jurisdiction.

You represent and warrant that all information provided to Social Attaché is accurate and current.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activity occurring under your account.

You must promptly notify Social Attaché of any unauthorized access or security incident involving your account.

Social Attaché may suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

Certain portions of the Service may be provided on a subscription basis.

Subscriptions renew automatically unless cancelled before the next billing cycle.

Metered services may incur usage-based fees.

You authorize Social Attaché to charge applicable fees using your selected payment method.

Except where required by law, fees are non-refundable.

Social Attaché may modify pricing upon reasonable notice.

5. Customer Responsibilities

You are solely responsible for your use of the Service.

You are solely responsible for:

Obtaining all required permissions and consents
Compliance with privacy laws
Compliance with anti-spam laws
Compliance with email marketing laws
Compliance with platform policies
Compliance with third-party terms of service
Compliance with applicable regulations

You represent and warrant that you possess all rights, permissions, and legal authority necessary for Social Attaché to process information through the Service.

Social Attaché does not verify recipient consent, marketing permissions, relationship status, or legal authority to contact individuals.

6. Intelligence Network Participation

Certain features of the Service rely upon participation in the Social Attaché Intelligence Network.

Participation may allow Social Attaché to use collected information to improve intelligence systems, benchmarking systems, recommendation systems, machine learning systems, artificial intelligence systems, and future products and services.

Social Attaché may offer participation controls that allow users to disable contribution to certain shared intelligence systems.

Disabling participation may limit or remove access to intelligence-based features, benchmarking features, recommendations, AI-powered capabilities, or other functionality determined by Social Attaché.

Even when participation is disabled, Social Attaché may continue collecting and processing information reasonably necessary to operate, secure, maintain, support, bill, audit, improve, and provide the Service.

7. Data Collection and Monitoring

The Service may collect, process, analyze, and store information necessary to provide functionality and operate the Intelligence Network.

Information collected may include:

Customer Data
Public Data
Operational usage data
Device information
Platform integration data
Account activity
Relationship information
Metadata
Browser extension activity related to supported services
Information discovered through operation of the Service

The Service may collect information relating to third parties, public entities, businesses, websites, profiles, pages, content, relationships, interactions, and publicly available information encountered through operation of the Service.

8. Customer Data Ownership

Customers retain ownership of their Customer Data.

By using the Service, you grant Social Attaché a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to:

Store
Process
Analyze
Reproduce
Transform
Aggregate
Classify
Benchmark
Derive insights from
Generate recommendations from
Improve services using

Customer Data to operate, improve, secure, maintain, develop, market, support, and provide the Service and future products and services.

9. Intelligence Assets Ownership

Social Attaché exclusively owns all right, title, and interest in and to all Intelligence Assets.

Intelligence Assets include, without limitation:

Intelligence Graphs
Relationship Graphs
Entity Graphs
Market intelligence
Benchmarks
Rankings
Scores
Recommendations
Trend analysis
Classifications
Entity mappings
Embeddings
Derived datasets
Aggregated datasets
Anonymized datasets
Training datasets
Machine learning systems
Artificial intelligence systems
Models
Model outputs
Learned patterns
Learned behaviors
Analytical structures
Improvements to the Service

To the maximum extent permitted by law, such Intelligence Assets constitute proprietary intellectual property of Social Attaché.

10. Artificial Intelligence and Machine Learning

You acknowledge and agree that information processed through the Service may be used to:

Train machine learning systems
Train artificial intelligence systems
Evaluate models
Improve models
Generate recommendations
Improve future products
Develop future services

Social Attaché retains ownership of all resulting systems, models, datasets, improvements, and outputs.

11. Public Data and Discovery

Social Attaché may collect, analyze, organize, classify, benchmark, and derive intelligence from Public Data.

Public Data may be incorporated into Intelligence Assets, reports, recommendations, analytics, benchmarks, machine learning systems, artificial intelligence systems, and future products.

12. Third-Party Platforms

The Service may integrate with third-party platforms and services.

Social Attaché is not affiliated with, endorsed by, or operated by any social network, website, platform provider, or third-party service unless expressly stated otherwise.

You acknowledge that third-party platforms may:

Modify APIs
Restrict access
Suspend accounts
Remove content
Change policies
Terminate integrations

Social Attaché is not responsible for actions taken by third-party platforms.

13. Intellectual Property

Except for Customer Data owned by customers, all rights, title, and interest in the Service remain the exclusive property of Social Attaché.

No rights are granted except as expressly stated in these Terms.

14. Indemnification

You agree to defend, indemnify, and hold harmless Social Attaché, its officers, directors, employees, contractors, affiliates, licensors, and partners from any claims, damages, liabilities, losses, costs, and expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of laws or regulations
Your violation of platform policies
Information submitted through your account
Communications sent through the Service

15. Limitation of Liability

To the maximum extent permitted by law, Social Attaché shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.

Social Attaché's total liability arising from the Service shall not exceed the fees paid by the customer during the twelve months preceding the event giving rise to the claim.

16. Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE."

Social Attaché makes no warranties regarding:

Accuracy
Completeness
Reliability
Availability
Business outcomes
Marketing outcomes
Revenue outcomes
Competitive outcomes

No intelligence, recommendation, benchmark, report, analysis, or AI-generated output constitutes professional, legal, financial, or business advice.

17. Termination

Social Attaché may suspend or terminate access to the Service at any time for violation of these Terms or for any other lawful reason.

Upon termination, provisions concerning ownership, licenses, intellectual property, indemnification, limitations of liability, and dispute resolution shall survive termination.

18. Governing Law

These Terms shall be governed by the laws of the Province of British Columbia and the applicable laws of Canada.

19. Changes

Social Attaché may modify these Terms from time to time.

Continued use of the Service following publication of updated Terms constitutes acceptance of the revised Terms.
